Terms of Service

Services

We provide custom software development, systems integration, cloud infrastructure setup, and maintenance services. All services are scoped by written proposals or statements of work agreed upon by both parties.

Payment Terms

Invoices are due net-15 unless otherwise stated in the project proposal. For fixed-scope projects, payment terms are typically 50% upfront and 50% upon completion. Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

Intellectual Property

Upon full payment, all work product and intellectual property created specifically for your project transfers to you. You are responsible for ensuring lawful use of all deliverables. We retain the right to use general knowledge, skills, and techniques developed during the project for other clients.

Client Responsibilities

You agree to:

• Provide timely feedback and approvals
• Supply necessary access, credentials, and materials
• Ensure lawful use of all deliverables
• Maintain confidentiality of any sensitive information shared

Project Changes

Changes to project scope, timeline, or deliverables must be agreed upon in writing. Additional work beyond the original scope will be billed separately at our standard rates or as mutually agreed.

Warranties and Disclaimers

We warrant that services will be performed in a professional and workmanlike manner. However, we do not guarantee that the software will be error-free or uninterrupted. All services are provided "as is" to the extent permitted by law.

Limitation of Liability

To the maximum extent permitted by law, our liability is limited to the fees paid in the previous 3 months for the specific services giving rise to the claim. We are not liable for indirect, incidental, special, consequential, or punitive damages.

Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This obligation survives termination of the agreement.

Termination

Either party may terminate the agreement with written notice. Upon termination, you will pay for all work completed to date. For monthly retainers, cancellation requires 30 days' notice.

Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Florida.

Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to this page. Continued use of our services constitutes acceptance of modified Terms.
